Terms of Service

Effective Date: April 1, 2026

PLEASE READ THESE TERMS CAREFULLY BEFORE USING BILLUNLIMITED. BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS.

1. PARTIES

This Agreement is between Unlimited Pediatric Therapy, LLC ("BillUnlimited") and the agency or individual accessing the service ("Client").

2. DESCRIPTION OF SERVICE

BillUnlimited is a web-based billing automation platform for Florida Early Steps Part C providers. It assists with generating ESDS-compliant EMR XML files, 837P EDI claims, and visit data management. BillUnlimited does not submit claims on behalf of agencies, act as a billing agent, or make billing decisions for the agency. BillUnlimited does not provide legal advice, medical coding advice, or guarantee claim approval.

3. PAYMENT

Access requires a one-time setup fee of $499 and a monthly subscription fee based on the agency's selected plan tier. The setup fee is non-refundable. Monthly fees are billed automatically and recurring until canceled. You may cancel at any time and retain access through the end of the current billing period. No prorated refunds are issued for partial billing periods.

4. RELATIONSHIP TO ESDS, AHCA, AND FLORIDA EARLY STEPS

BillUnlimited is an independent third-party software platform. We are not:

Florida Early Steps and ESDS are programs of the Florida Department of Health and AHCA. All references to these programs are descriptive only.

5. ESDS DEPENDENCY AND OUTAGES

BillUnlimited generates files designed to be uploaded to ESDS, but BillUnlimited has no control over and no responsibility for the ESDS system itself.

5a. No responsibility for ESDS uptime

BillUnlimited is not responsible for ESDS service availability, outages, downtime, scheduled maintenance, slow response times, or any inability of users to access or upload to the ESDS system. ESDS is operated by the State of Florida and is wholly outside BillUnlimited's control.

5b. No responsibility for ESDS rule changes

BillUnlimited is not responsible for changes to ESDS specifications, schemas, business rules, fee schedules, modifier rules, certification requirements, authorization rules, unit limits, or any other ESDS-side change that may occur with or without notice. While BillUnlimited makes reasonable efforts to keep its file generation aligned with current ESDS requirements, the agency is responsible for verifying that generated files meet then-current ESDS specifications before submission.

5c. ESDS acceptance depends on ESDS

BillUnlimited is designed to generate files based on available ESDS specifications and the data provided by the agency. Whether ESDS ultimately accepts a file depends on the data and configuration inside ESDS itself — including provider credentialing, enrollment status, IFSP authorizations, and unit limits — none of which BillUnlimited can directly modify.

How we work together: Think of BillUnlimited as the file builder, and ESDS as the file gatekeeper. We build clean, well-formatted files from the data you give us. ESDS then checks each row against its own records and rules. If something inside ESDS doesn't line up — for example, a provider isn't credentialed for a service, or an IFSP doesn't authorize the units billed — ESDS will reject that row. We surface those rejection messages clearly so you know exactly what to look at, and we're glad to help you interpret what they mean. The actual fixes (updating ESDS records, contacting your Local Early Steps office, etc.) happen inside ESDS, not in our system.

6. THE DATA RELATIONSHIP BETWEEN BILLUNLIMITED AND ESDS

BillUnlimited reads the data you provide (visits, providers, fee schedules) and produces files in the format ESDS expects. ESDS then validates those files against its own records. Because ESDS is the source of truth for credentialing, authorizations, and enrollment, our files only succeed when the corresponding records in ESDS are correctly set up.

For files to be accepted, the following must be true in ESDS:

BillUnlimited cannot directly modify or correct data inside ESDS — only ESDS, AHCA, or the agency's Local Early Steps office can do that. What we can do is generate clean files, clearly surface any rejection messages ESDS returns, and help the agency understand what those messages mean so it knows where to look.

By using BillUnlimited, the agency acknowledges and agrees that it is solely responsible for:

9. NO BILLING OR CODING ADVICE

BillUnlimited does not provide medical coding advice, billing advice, legal advice, compliance advice, or clinical guidance. Pre-loaded fee schedules, default modifier mappings, default discipline codes, and similar reference data are provided as conveniences only. They are not professional advice and should be independently verified by the agency. The agency is responsible for confirming that all codes, modifiers, rates, and authorizations are correct for each visit before submitting.

10. NO GUARANTEE OF PAYMENT

BillUnlimited does not guarantee payment of any claim. Reimbursement decisions are made by Medicaid, AHCA, and other third-party payers based on their own rules, audits, and processes. BillUnlimited has no relationship with any payer and no ability to influence claim adjudication.

11. DISCLAIMER OF WARRANTIES

BILLUNLIMITED IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT FILES GENERATED WILL BE ACCEPTED BY ESDS OR ANY PAYER, THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DATA WILL ALWAYS BE AVAILABLE OR ACCURATE. We do not warrant that the service will meet every agency's specific operational, payer, or compliance needs.

12. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BILLUNLIMITED'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY THE CLIENT IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. SERVICE AVAILABILITY

BillUnlimited makes reasonable efforts to keep the service available but does not guarantee uptime. The service may be temporarily unavailable due to maintenance, infrastructure issues, third-party provider issues (such as hosting or database providers), or other circumstances beyond our control. Subscription fees are not refunded for service interruptions.

14. USER ACCESS AND ACCOUNT SECURITY

The agency is responsible for maintaining the confidentiality of login credentials, limiting user access to authorized personnel only, and promptly notifying BillUnlimited of any suspected unauthorized access to its account. The agency is responsible for all activity that occurs under its account, whether or not authorized. BillUnlimited is not liable for any loss or damage arising from the agency's failure to safeguard its credentials or from unauthorized access resulting from credentials shared, written down, or otherwise exposed by the agency or its personnel.

15. PAYMENT PROCESSING

Payment processing is handled by Stripe, a third-party provider. No protected health information is transmitted through the payment system. By subscribing, you agree to Stripe's terms of service. BillUnlimited is not responsible for payment processing errors, declined cards, or any other Stripe-side issues.

16. DATA, BACKUPS, AND RETENTION

While BillUnlimited stores agency data securely and maintains reasonable operational backups, the agency should retain its own copies of generated XML and 837P files, ACK files, and source visit data. BillUnlimited is not responsible for data loss resulting from agency action (such as account deletion or accidental deletion of records) or from third-party hosting or database failures. Generated files should be downloaded and archived by the agency upon creation.

BillUnlimited is not intended to serve as the agency's system of record. The agency remains responsible for maintaining its own clinical, billing, and compliance records in accordance with applicable laws and regulations.

17. GOVERNING LAW

This Agreement is governed by the laws of the State of Florida, without regard to conflict of laws principles. Any dispute arising from this Agreement shall be resolved exclusively in the state or federal courts located in Pinellas County, Florida, and the parties consent to the personal jurisdiction of those courts.

18. LEGAL IDENTITY

BillUnlimited is a service provided by Unlimited Pediatric Therapy, LLC. Unlimited Pediatric Therapy, LLC acts as a Business Associate only as described in the applicable Business Associate Agreement accepted by the agency.

19. CHANGES TO THESE TERMS

BillUnlimited may update these Terms from time to time. Material changes will be communicated through the platform or via email to the address on file. Continued use of the service after changes take effect constitutes acceptance of the updated Terms.

20. TERMINATION

Either party may terminate this Agreement at any time. Upon termination, the agency's access to the service will end at the conclusion of the then-current billing period. The agency is responsible for downloading any data it wishes to retain prior to termination. BillUnlimited may suspend or terminate access immediately for non-payment, abuse, breach of these Terms, or any activity that BillUnlimited reasonably believes violates applicable law or regulation.
